Welcome to Canvas Score (a Roya.com LLC Product) (“Company”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of our mobile and web applications and related services (“Services”) that enable businesses, including healthcare providers, to communicate with their customers (including patients) to collect Net Promoter Scores, reviews, and other feedback data.
By accessing or using the Services, you (“Customer”, “you”, or “your”) agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.
1. Eligibility
You represent and warrant that you have the authority to enter into these Terms on behalf of the business or organization you represent, and that your use of the Services complies with all applicable laws, regulations, and industry standards.
2. Services
Our Services provide tools for you to communicate with your customers, clients, or patients to collect Net Promoter Scores (NPS), reviews, testimonials, and other feedback data. You are responsible for ensuring that your communications comply with applicable privacy and marketing laws, including but not limited to obtaining any required consents.
3. Subscription Terms
3.1 Billing: The Services are provided on a subscription basis. Fees are charged monthly unless you have entered into an annual contract. You agree to pay all fees associated with your subscription plan as described on your order form or online account.
3.2 Automatic Renewal: Unless otherwise specified in your agreement, your subscription will automatically renew for successive terms equal in length to the initial term (monthly or annual, as applicable) unless you provide written notice of non-renewal at least thirty (30) days prior to the end of the then-current term.
3.3 Changes to Fees: We may modify our fees upon at least thirty (30) days’ advance notice. Any fee changes will apply at the start of the next renewal term.
4. Cancellation and Termination
You may cancel your subscription by providing written notice of non-renewal at least thirty (30) days prior to the expiration of your current term. No refunds will be issued for partial terms. We reserve the right to suspend or terminate your access to the Services if you violate these Terms.
5. Data Privacy and Security
You acknowledge that you are responsible for any data you collect through the Services, including ensuring compliance with all applicable privacy laws such as HIPAA, GDPR, or other relevant regulations. You agree not to use the Services to store or transmit sensitive personal health information unless you have appropriate safeguards and agreements in place. 6. Intellectual Property
We retain all rights, title, and interest in and to the Services and all related intellectual property. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your internal business purposes in accordance with these Terms.
7. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ROYA.COM LLC OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold harmless Roya.com LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
10. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in San Diego, CA.
11. Changes to Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Services or by other reasonable means. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.
